Fees, Completion of Forms, & Other Duties and Responsibilities In consideration for the use of the Site and the Provider's Service, you agree to prepay the amount on the Order Form. You agree individually, and on behalf of your company/firm, as an agent, and on behalf of your client to complete the Order Form which outlines specifically which service(s) you desire to purchase, informs us of all your contact information including emergency numbers (i.e., back line, cell phone number, home phone number). If you request that an Independent Contractor be identified for you by the Provider, then to such extent your contract is with said Independent Contract and the Provider will be compensated by such Independent Contractor. If you purchase background or other materials directly from the Provider, then to such extent your contract is with the Provider. You understand that if you require a physician, doctor, researcher or other medical service personnel to attend a deposition or trial you will prepay the tolls for long distance minutes for those purposes. The physician, doctor, researcher or other medical service personnel, will remain on the phone with you only for the period of time for which you have prepaid. You are responsible for providing a valid credit card number at the time you register for a Service. You represent and warrant that you are an authorized user of such credit card, and you agree to pay all charges resulting from your Service account at the prices then in effect, including any unauthorized charges incurred prior to your notifying MDINABOX tm, INC. of such charges. You agree that MDINABOX tm, INC. may pass your credit card information and related personally identifiable information to its designated service provider(s) for their use in charging you for appropriate services. All Service charges are exclusive of sales or other taxes and you are responsible for payment of any applicable state, local and city taxes. MDINABOX tm, INC. reserves the right to modify or terminate membership plans, change prices, or institute new charges for any Service at any time. You are required, to purchase in advance the number of minutes needed and to advise the physician, doctor, researcher, or other medical service personnel, with whom you will be communicating, in advance, that you wish to have him or her contact you by cell phone if the internet connection fails. You are responsible for providing the appropriate information for the use of the card to the physician, doctor, researcher or other medical service personnel. Should you elect to communicate via voice instant messaging you do so at his or her own risk. You agree that any items purchased via MDINABOX tm, INC., including, but not limited to, computer equipment, microphones, books, long distance cards/time etc. contain no warrantees by MDINABOX tm, INC. and are purchased "AS IS". You agree that MDINABOX tm, INC. solely at its own discretion can create and maintain an account whereby it will bill you for Services ordered or provided from time to time. Bills are due and payable upon receipt. Interest will be charged and added to the balance of the Client's account commencing and to the extent that the same remains unpaid 30 days after the rendering of the billing for said account. Interest will be charged at seventeen percent (17%) per annum. Interest shall commence 30 days after the statement of the account is rendered by MDINABOX tm, INC. to you. In the event it is necessary to institute suit for the collection of bills, you will pay, in addition to any Judgment for such monies, all costs and expenses necessitated thereby, including the Attorney's fees incurred by MDINABOX tm, INC. herein in either the negotiation of a settlement with the you or suit against you and/or your guarantors. Cancellation and Refund Policy You agree to immediate payment of all charges at the time a Service is ordered. All orders are non-cancelable and all payments are non-refundable. Resolution of Disputes - Binding Arbitration All disputes and controversies of every kind and nature between the parties named above rising out of or in connection with this agreement and use of services as to its existence, construction, validity, interpretation or meaning, performance, nonperformance, enforcement, operation, breach, continuance, or termination balances due or any other matter shall be submitted exclusively to arbitration pursuant to the following procedure: (i) Either party may demand arbitration in writing within thirty (30) days after any controversy arises, which demand shall include the name of the arbitrator appointed by the party demanding arbitration, together with a statement of the matter in controversy. (ii) Within twenty (20) days after such demand, the other party shall name an arbitrator, and the two arbitrators so selected shall name a third arbitrator within twenty (20) days. (iii) Each party shall bear his own arbitration costs and expenses. (iv) The arbitration hearing shall be held at a time and place in New Delhi, India with ten (10) days notice to the parties. The Florida Arbitration Code, Chapter 682, Florida Statutes, and the law of evidence of the State of Florida, Chapter 90, Florida Statutes, shall govern the proceeding and the presentation of evidence. (v) Upon conclusion of the arbitration hearing, an award rendered by a majority of the arbitrators shall be final and binding on all parties to the proceeding, and judgment on such award may be entered by either party in a court of competent jurisdiction. (b) The parties agree that compliance with the provisions of this arbitration agreement shall be a condition precedent to either party instituting suit of any nature against the other, and a failure to arbitrate shall be a complete defense to any suit, action, or proceeding instituted in any international, federal, state, or local court or before any administrative tribunal with respect to any controversy or dispute arising during the period of this agreement or for provision of services and which is arbitrable under this agreement. These arbitration provisions shall, with respect to such controversy or dispute, survive the termination or expiration of this agreement and services. (c) Nothing in this agreement shall be deemed to give the arbitrators any authority, power, or right to alter, change, amend, modify, add to, or subtract from any of the provisions of this agreement. (d) This agreement shall be governed by and interpreted in accordance with the laws of the United States of America and more particularly the laws of the State of Florida. (e) Sole and exclusive venue for any action, damage, or cause arising out of the Service or these Terms and Conditions, if any, shall be in the local courts of New Delhi, India. Additional Limitation of Services & Liability It is expressly understood and agreed that the physician, doctor, researcher or other medical service personnel provided by MDINABOX tm, INC. are not available to testify in the United States of America and are not licensed to practice medicine in the United States of America. All parties acknowledge that all physician, doctor, researcher or other medical service personnel are independent contractors and neither MDINABOX tm, INC. nor any officers of MDINABOX tm, INC. are liable for the actions or inactions of any of the physician, doctor, researcher or other medical service personnel. The parties understand the services provided by the physician, doctor, researcher or other medical service personnel do not constitute the practice of medicine and the physician, doctor, researcher or other medical service personnel for MDINABOX tm, INC., are not evaluating individuals, nor rendering medical diagnoses. In no event shall MDINABOX tm, INC. nor any officers of MDINABOX tm, INC. be liable for damages sustained by you or your client in the event you do not win or obtain the desired results in the case for which you are purchasing services or materials. In no event shall MDINABOX tm, INC. be liable for computer viruses regardless of how they might occur and you guarantee and agree to maintain the most up-to-date virus protection (scanning for viruses automatically and continuously). MDINABOX tm, INC. is not liable for power failures. MDINABOX tm, INC. Is not liable if Instant Messaging does not work, if cell phone service or aircard service is unavailable, disconnected, or has poor reception, or for other technical difficulties. MDINABOX tm, INC., is not responsible for any products secured via any links, nor does it warrant anything about said links or products. Individuals seeking services of MDINABOX tm, INC., acknowledge that physician, doctor, researcher or other medical service personnel DO NOT have licenses to practice medicine in the United States of America and further acknowledge training in the medical field are not necessarily comparable that obtained in the United States of America. Privacy Notice & Waiver MDINABOX tm, INC., Inc monitors emails and the parties acknowledge and agree that MDINABOX tm, INC., Inc, has access to, and can read at it's discretion, all emails sent to and received by the physician, doctor, researcher or other medical service personnel working as independent contractors. You agree to provide to MDINABOX tm, INC. all testimony of witnesses involved and work product of the Independent Contractors in a standard digital format for use as MDINABOX tm, INC. sees fit for any purpose including but not limited to providing such testimony to other attorneys or using same as a teaching device. Indemnity You hereby agree to indemnify, defend and hold MDINABOX tm, INC., its directors, officers, shareholders, parents, subsidiaries, affiliates, agents and licensors harmless from and against any and all liability, losses, damages and costs, including, without limitation, reasonable attorneys' fees, arising from your use of the Site, Service, or contact with individuals, groups and/or companies/corporations through Mdinabox.com.
