By accessing or using the Site or our Services, you AGREE to be bound by the Terms and Conditions below ("Terms and Conditions"). These Terms and Conditions expressly incorporate by reference any guidelines, rules or disclaimers that may be posted or updated on the Site or on notices that are sent to you. YOU UNDERSTAND AND AGREE THAT THE SERVICE IS NOT INTENDED TO BE AND DOES NOT CONSTITUTE A SOLICITATION OF BUSINESS ANYWHERE ON BEHALF OF, NOR TO CONSTITUTE ANY CONTACTS WITH ANY JURISDICTION OUTSIDE OF THE STATE OF FLORIDA.
Potential users of the Site or Services of MDINABOX, INC. in any jurisdiction in the world, the common, statutory, regulatory, or codified law of which would void this Agreement in whole or in any essential part (the essential parts being at least, but not only, the exclusive venue and exclusive remedy provisions and warranty disclaimer), or which law makes accessing this Site or use of the Provider's Service illegal, are unauthorized to use this Site or the Provider's Service.
YOU UNDERSTAND AND AGREE THAT USE OF THIS SERVICE IS ENTIRELY AT YOUR OWN RISK, AND THAT IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ANY OTHER MONETARY OR OTHER DAMAGES, FEES, FINES, PENALTIES, OR LIABILITIES ARISING OUT OF OR RELATING IN ANY WAY TO THIS SERVICE, OR SITES ACCESSED THROUGH THIS SERVICE, AND/OR CONTENT OR INFORMATION PROVIDED HEREIN. A USER'S SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO STOP USING THE SERVICE.
Fees, Completion of Forms, & Other Duties and Responsibilities
In consideration for the use of the Site and the Provider's Service, you agree to prepay the amount on the Order Form. You agree individually, and on behalf of your company/firm, as an agent, and on behalf of your client to complete the Order Form which outlines specifically which service(s) you desire to purchase, informs us of all your contact information including emergency numbers (i.e., back line, cell phone number, home phone number). If you request that an Independent Contractor be identified for you by the Provider, then to such extent your contract is with said Independent Contract and the Provider will be compensated by such Independent Contractor. If you purchase background or other materials directly from the Provider, then to such extent your contract is with the Provider.
You understand that if you require a physician, doctor, researcher or other medical service personnel to attend a deposition or trial you will prepay the tolls for long distance minutes for those purposes. The physician, doctor, researcher or other medical service personnel, will remain on the phone with you only for the period of time for which you have prepaid.
You are responsible for providing a valid credit card number at the time you register for a Service. You represent and warrant that you are an authorized user of such credit card, and you agree to pay all charges resulting from your Service account at the prices then in effect, including any unauthorized charges incurred prior to your notifying MDINABOXtm, INC. of such charges. You agree that MDINABOXtm, INC. may pass your credit card information and related personally identifiable information to its designated service provider(s) for their use in charging you for appropriate services. All Service charges are exclusive of sales or other taxes and you are responsible for payment of any applicable state, local and city taxes. MDINABOXtm, INC. reserves the right to modify or terminate membership plans, change prices, or institute new charges for any Service at any time.
You are required, to purchase in advance the number of minutes needed and to advise the physician, doctor, researcher, or other medical service personnel, with whom you will be communicating, in advance, that you wish to have him or her contact you by cell phone if the internet connection fails. You are responsible for providing the appropriate information for the use of the card to the physician, doctor, researcher or other medical service personnel. Should you elect to communicate via voice instant messaging you do so at his or her own risk.
You agree that any items purchased via MDINABOXtm, INC., including, but not limited to, computer equipment, microphones, books, long distance cards/time etc. contain no warrantees by MDINABOXtm, INC. and are purchased "AS IS".
You agree that MDINABOXtm, INC. solely at its own discretion can create and maintain an account whereby it will bill you for Services ordered or provided from time to time. Bills are due and payable upon receipt. Interest will be charged and added to the balance of the Client's account commencing and to the extent that the same remains unpaid 30 days after the rendering of the billing for said account. Interest will be charged at seventeen percent (17%) per annum. Interest shall commence 30 days after the statement of the account is rendered by MDINABOXtm, INC. to you. In the event it is necessary to institute suit for the collection of bills, you will pay, in addition to any Judgment for such monies, all costs and expenses necessitated thereby, including the Attorney's fees incurred by MDINABOXtm, INC. herein in either the negotiation of a settlement with the you or suit against you and/or your guarantors.
Cancellation and Refund Policy
You agree to immediate payment of all charges at the time a Service is ordered. All orders are non-cancelable and all payments are non-refundable.
Resolution of Disputes - Binding Arbitration
All disputes and controversies of every kind and nature between the parties named above rising out of or in connection with this agreement and use of services as to its existence, construction, validity, interpretation or meaning, performance, nonperformance, enforcement, operation, breach, continuance, or termination balances due or any other matter shall be submitted exclusively to arbitration pursuant to the following procedure:
(i) Either party may demand arbitration in writing within thirty (30) days after any controversy arises, which demand shall include the name of the arbitrator appointed by the party demanding arbitration, together with a statement of the matter in controversy.
(ii) Within twenty (20) days after such demand, the other party shall name an arbitrator, and the two arbitrators so selected shall name a third arbitrator within twenty (20) days.
(iii) Each party shall bear his own arbitration costs and expenses.
(iv) The arbitration hearing shall be held at a time and place in New Delhi, India with ten (10) days notice to the parties. The Florida Arbitration Code, Chapter 682, Florida Statutes, and the law of evidence of the State of Florida, Chapter 90, Florida Statutes, shall govern the proceeding and the presentation of evidence.
(v) Upon conclusion of the arbitration hearing, an award rendered by a majority of the arbitrators shall be final and binding on all parties to the proceeding, and judgment on such award may be entered by either party in a court of competent jurisdiction.
(b) The parties agree that compliance with the provisions of this arbitration agreement shall be a condition precedent to either party instituting suit of any nature against the other, and a failure to arbitrate shall be a complete defense to any suit, action, or proceeding instituted in any international, federal, state, or local court or before any administrative tribunal with respect to any controversy or dispute arising during the period of this agreement or for provision of services and which is arbitrable under this agreement. These arbitration provisions shall, with respect to such controversy or dispute, survive the termination or expiration of this agreement and services.
(c) Nothing in this agreement shall be deemed to give the arbitrators any authority, power, or right to alter, change, amend, modify, add to, or subtract from any of the provisions of this agreement.
(d) This agreement shall be governed by and interpreted in accordance with the laws of the United States of America and more particularly the laws of the State of Florida.
(e) Sole and exclusive venue for any action, damage, or cause arising out of the Service or these Terms and Conditions, if any, shall be in the local courts of New Delhi, India.
Additional Limitation of Services & Liability
It is expressly understood and agreed that the physician, doctor, researcher or other medical service personnel provided by MDINABOXtm, INC. are not available to testify in the United States of America and are not licensed to practice medicine in the United States of America.
All parties acknowledge that all physician, doctor, researcher or other medical service personnel are independent contractors and neither MDINABOXtm, INC. nor any officers of MDINABOXtm, INC. are liable for the actions or inactions of any of the physician, doctor, researcher or other medical service personnel. The parties understand the services provided by the physician, doctor, researcher or other medical service personnel do not constitute the practice of medicine and the physician, doctor, researcher or other medical service personnel for MDINABOXtm, INC., are not evaluating individuals, nor rendering medical diagnoses.
In no event shall MDINABOXtm, INC. nor any officers of MDINABOXtm, INC. be liable for damages sustained by you or your client in the event you do not win or obtain the desired results in the case for which you are purchasing services or materials.
In no event shall MDINABOXtm, INC. be liable for computer viruses regardless of how they might occur and you guarantee and agree to maintain the most up-to-date virus protection (scanning for viruses automatically and continuously). MDINABOXtm, INC. is not liable for power failures. MDINABOXtm, INC. Is not liable if Instant Messaging does not work, if cell phone service or aircard service is unavailable, disconnected, or has poor reception, or for other technical difficulties.
MDINABOXtm, INC., is not responsible for any products secured via any links, nor does it warrant anything about said links or products.
MDINABOXtm, INC., is not liable for behavior, suggestions, lack of suggestions or recommendations from any of the Independent Contractors (physician, doctor, researcher or other medical service personnel). All individuals performing these activities do so on an independent contractor basis with you, and MDINABOX, INC. is not responsible or liable for any recommendations made, or not made, by these individuals.
MDINABOXtm, INC., is not responsible for misrepresentations by a physician, doctor, researcher or other medical service personnel, and does not verify any background information provided by physician, doctor, researcher or other medical service personnel such as medical training, current employment or licensure.
Individuals seeking services of MDINABOXtm, INC., acknowledge that physician, doctor, researcher or other medical service personnel DO NOT have licenses to practice medicine in the United States of America and further acknowledge training in the medical field are not necessarily comparable that obtained in the United States of America.
Privacy Notice & Waiver
MDINABOXtm, INC., Inc monitors emails and the parties acknowledge and agree that MDINABOXtm, INC., Inc, has access to, and can read at it's discretion, all emails sent to and received by the physician, doctor, researcher or other medical service personnel working as independent contractors.
You agree to provide to MDINABOXtm, INC. all testimony of witnesses involved and work product of the Independent Contractors in a standard digital format for use as MDINABOXtm, INC. sees fit for any purpose including but not limited to providing such testimony to other attorneys or using same as a teaching device.
Indemnity
You hereby agree to indemnify, defend and hold MDINABOXtm, INC., its directors, officers, shareholders, parents, subsidiaries, affiliates, agents and licensors harmless from and against any and all liability, losses, damages and costs, including, without limitation, reasonable attorneys' fees, arising from your use of the Site, Service, or contact with individuals, groups and/or companies/corporations through Mdinabox.com.tm
You agree to indemnify, defend, and hold harmless MDINABOXtm, INC., and all its officers, directors, owners, agents, employees, affiliates, licensors, parents, licensees, independent contractors and contractors (we do not warrant the information physician, doctor, researcher or other medical service personnel), contractees, and any other third party service providers (Indemnified Parties) from and against any and all losses, damages, liabilities, claims, fees, costs, expenses of any kind related to (including, without limitation, reasonable attorneys fees) incurred by the Indemnified Parties in connection with any claim arising out of, based upon or resulting from your use of MDINABOXtm, INC.'s website, printed materials, audiovisual materials, or services. This includes all physician, doctor, researcher or other medical service personnel, providing services of any kind to MDINABOXtm, INC. You further agree that no physician, doctor, researcher or other medical service personnel used in connection with MDINABOXtm, INC. shall be liable for any actions or inactions at any time nor are officers of MDINABOXtm, INC. liable for any action or inaction whatsoever.
In consideration of access to, and use of the Site, Products, and Services provided or arranged by MDINABOXtm, INC., you agree to completely and totally waive all claims against and liability of or on the part of MDINABOXtm, INC., it's researchers, employees, independent contractors, physicians, doctors, or other medical service personnel and other individuals whom MDINABOXtm, INC. may chose to contract with exist now and at all times.
Limitations on Use
All content in this Site, including site layout, design, images, programs, text and other information (collectively, the "Content") is the property of MDINABOXtm, INC. and its affiliated companies.
You may not copy, display, distribute, modify, publish, reproduce, store, transmit, create derivative works from, or sell or license all or any part of the Content, products or services obtained from this Site in any medium to anyone, except as otherwise expressly permitted under applicable law or as described in these Terms and Conditions or relevant license or registered user agreement.
You may print or download Content from the Site for your own personal, non-commercial use. You may not engage in systematic retrieval of Content from the Site to create or compile, directly or indirectly, a collection, compilation, database or directory without prior written permission from MDINABOX, INC.

The report provided to you that outlines the MDINABOXtm, INC. researcher findings and the MDINABOXtm, INC. physician, doctor, researcher, or other medical service personnel opinions about your case will be provided to you in a bound notebook format or will be provided to you by email, at the sole option and discretion of MDINABOXtm, INC. No copies shall be made for any purpose. All individuals, courts, parties and/or witnesses seeking copies shall be directed to MDINABOXtm, INC. to purchase same. This includes the forwarding of any material emailed to you to other individuals.
To the extent that opposing counsel demands copies of documents, he or she is to be forwarded to MDINABOXtm, INC. to provide same.
Violation of and infringement upon the Intellectual Property of MDINABOXtm, INC. shall entitle MDINABOXtm, INC. to costs and attorneys' fees and liquidated damages of no less than $5,000.00 per occurrence.
You agree that MDINABOXtm, INC. or its employees, contractors, or affiliates have the right to utilize, copy, reproduce, resell, share, or otherwise distribute or disseminate any and all reports, transcripts, documents, media, and information, obtained from you through the Service or created by you or for you through the Service, including confidential information provided during the Service and regardless of whether or not you might have any rights (whether exclusive or non-exclusive) to that information.

Liquidated Damages
You agree to pay up to two (2) years of a physician's, doctor's, researcher's or other medical service personnel's (or any other MDINABOXtm, INC. contractor's) salary (for comparable position in the United States of America) in United States Dollars if you hire any of our contractors directly. By using this Site and Service you acknowledge and agree that damages to MDINABOXtm, INC. if you directly contract with a physician, doctor, researcher or other medical service personnel (or any other MDINABOXtm, INC. contractor) by are not so readily ascertainable and are so uncertain as would be extremely difficult to impossible to determine. You agree that ALL scheduling is done through MDINABOXtm, INC.
Waiver of Conflict of Interest
You understand that you are negotiating directly with the independently contracted physician, doctor, researcher or other medical service personnel, for all work to be done, time frames, and hours of services needed. You further acknowledges to have waived any real or potential conflict of interest in the event any other physician, doctor, researcher or other medical service personnel, from MDINABOXtm, INC. has already been or may be retained by opposing counsel or any other person, party or organization in the same case and or transaction. You understand the physician, doctor, researcher or other medical service personnel n with whom you are dealing at MDINABOXtm, INC. has been advised to keep all material confidential and refrain from providing this information to other physician, doctor, researcher or other medical service personnel, affiliated with MDINABOXtm, INC.
Disclaimer of Warranties and Liability
Neither MDINABOXtm, INC., its affiliates, nor any third-party content providers or licensors makes any warranty whatsoever, including without limitation, that: (1) The operation of the Site will be uninterrupted or error-free; (2) The Site, including the server that makes it available is free of viruses or other harmful components; (3) The results that may be obtained from use of the Content or other materials on the Site; or (4) The accuracy, completeness, reliability, availability, suitability, quality, non-infringement, operation, or application of any Content, product or service provided on or accessible from the Site.

MDINABOXtm, INC. aims to keep the Site available twenty-four (24) hours a day, seven (7) days a week and to maintain saved information. However, due to technical failures, acts of God or routine maintenance, availability may be limited and/or information may be lost. MDINABOXtm, INC. shall not be liable for loss of information or the non-availability of the Site or records of or services rendered or to be performed through the Site.
Miscellaneous
These Terms and Conditions together with all other items incorporated herein by reference, embody the entire agreement and understanding between you and MDINABOXtm, INC. This agreement supercedes all prior representations, agreements, or understandings you have had with MDINABOXtm, INC. MDINABOXtm, INC. has the right to assign services, records, information, and this agreement including these Terms and Conditions to a subsidiary or affiliate company, or any third party, at any time without your consent.
The MDINABOXtm, INC. website is directed to persons of legal age to contract (sui juris). The MDINABOXtm, INC. website and services are not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation.
You agree to complete a physician, doctor, researcher or other medical service personnel evaluation form for MDINABOXtm, INC. within 30 days of the provision of the service so MDINABOXtm, INC. can determine whether to pay said Independent Contractor (i.e. physician, doctor, researcher or other medical service personnel) a bonus for excellent service.
MDINABOXtm, INC. reserves the right to refuse to provide any Service requested.
Each access of the MDINABOXtm, INC. Site is a separate agreement for Services. MDINABOXtm, INC. reserves the right to refuse to enter into a new agreement with you or any other person for future services.
By entering this Site or by ordering our services, you are stating you have read and understand these Terms and Conditions. You may not access our Site or purchase services from MDINABOXtm, INC. without agreeing to these Terms and Conditions.
